Can the common files be placed in a module which both reference?
Thanks Nicklas- I was thinking of that too - the new shared module though would just have utility classes - can I still put that jar in the deployment directory even though it is not an EJB, connector,etc ? Is that conventional? Sorry Im new to this..

It doesn't need to be a module. Just place the classes in a jar in the EAR/lib directory and they will automatically be available to all components in the EAR.
This is bog standard JEE packaging.
OK, so I read your original post again. If you're not using an EAR then you should consider it. It will make life simpler for you.
You don't need to add stuff to manifests or anything like that.
